Terms of Service

These Terms of Service ('Terms') govern your access to and use of novasolution.ae (the 'Site') and the services provided by Nova Solution ('Nova', 'we', 'us'). By using the Site or engaging our services, you agree to these Terms.

1. Services

Nova provides Shopify design, development, conversion optimization, marketing, retention, SEO, and automation services. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate proposal, statement of work, or written agreement (the 'Engagement Agreement'), which takes precedence over these Terms where they conflict.

2. Proposals & Engagements

Quotes and proposals are valid for the period stated within them. An engagement begins once a proposal is accepted in writing and any required deposit is received.

3. Fees & Payment

• Fees, payment schedules, and currency are set out in the applicable Engagement Agreement.
• Invoices are payable by the due date stated. Late payments may pause work and incur reasonable charges.
• Unless stated otherwise, fees are exclusive of applicable taxes.

4. Client Responsibilities

To deliver effectively, we rely on you to provide timely access, content, approvals, and accurate information. Delays in providing these may affect timelines and costs.

5. Intellectual Property

Upon full payment, ownership of final, paid deliverables transfers to you, except for third-party assets, open-source components, and Nova's pre-existing tools, frameworks, and know-how, which remain our property and are licensed to you for use within the delivered work.

6. Confidentiality

Each party agrees to keep the other's confidential information secure and to use it only for the purposes of the engagement.

7. Third-Party Services

Our work may involve third-party platforms (e.g. Shopify, apps, advertising, and analytics providers). We are not responsible for the availability, performance, or policies of those services.

8. Warranties & Disclaimer

We provide services with reasonable skill and care. Except as expressly stated, the Site and services are provided 'as is' without warranties of any kind. We do not guarantee specific revenue, ranking, or performance outcomes, as results depend on factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, Nova's total liability arising from an engagement shall not exceed the fees paid for that engagement. We are not liable for indirect, incidental, or consequential damages.

10. Term & Termination

Either party may terminate an engagement as set out in the Engagement Agreement. On termination, you agree to pay for all work performed up to the termination date.

11. Governing Law

These Terms are governed by the laws of the United Arab Emirates, and any disputes are subject to the exclusive jurisdiction of the courts of Dubai, UAE.

12. Changes to These Terms

We may update these Terms from time to time. The 'Last updated' date above reflects the latest revision. Continued use of the Site or services constitutes acceptance.
